Subject to legal validation. Proposed commercial terms and the privacy officer’s designation require confirmation. This document is not a compliance certification or evidence that every described practice is already operational.
Acceptance and scope
Groupe W operates in business transformation, artificial intelligence, data governance, security, emerging technologies and venture building. These terms cover legroupew.com and precontractual communications. They apply to B2B services only when expressly incorporated into a quotation, order or agreement accepted by the parties.
Using the site entails respecting its use rules, subject to legal information and acceptance requirements. Browsing alone is not a service order, acceptance of a price or investment commitment. Express agreement is collected where required. Signed particular agreements prevail over conflicting general provisions. Mandatory rights, including consumer protections where applicable despite the B2B focus, remain unaffected.
Definitions
- Groupe W: the legal entity operating the site and, for a service, the entity identified in the contract. A brand name does not replace the contracting entity’s identity.
- User: a site visitor or person sending an inquiry. Client: an individual or organization accepting a service agreement.
- Content: site texts, images, videos, documents, interfaces and analyses.
- Confidential information: non-public information marked confidential or reasonably confidential by its nature, including strategies, business data, source code, architectures, compliance evidence and transaction information.
- Intellectual property: applicable rights in works, software, algorithms, databases, inventions, methodologies, models, trade secrets, trademarks and know-how held by their respective owners.
- Personal information: information about an identifiable individual, directly or indirectly, including business information meeting that definition, subject to legal exclusions.
- Services: agreed assessment, strategy, application development, AI integration, execution, managed operations, governance, cybersecurity, entrepreneurial support and international development.
- Confidentiality incident: unauthorized access, use or disclosure, loss of personal information or another breach of its protection under applicable law.
Locations, governing law and jurisdiction
Groupe W identifies the following locations:
- Québec: 700-2828 Boul Laurier, Québec, QC G1V 0B9, Canada;
- Toronto (North York): 4711 Yonge St, 10th Floor, North York, ON M2N 6K8, Canada;
- Rabat: Mahaj Ryad Centre, 5th floor, Buildings 7 & 8, Hay Ryad, Rabat 10100, Morocco.
A location does not establish where data is hosted or accessed. Transfers remain subject to the Privacy policy.
Québec law and applicable federal Canadian law govern, subject to mandatory provisions and the contract. For B2B contractual disputes, the parties agree to competent courts in the judicial district of Montréal, Québec, only where this exclusive-jurisdiction clause has been validly accepted and is legally enforceable. It does not prevent regulatory complaints or recourse to a court mandated by law.
Changes to terms and services
Updates identify their date and version and apply prospectively. They do not retroactively change a signed agreement without the necessary consent. Important changes to processing purposes or consent arrangements require appropriate advance information and renewed consent where necessary; continued browsing does not replace that consent.
Project scope, timelines and prices change only under the applicable agreement, including agreed change-control procedures. Site content does not guarantee permanent service availability.
Accounts and user security
If a client portal or application access is provided under a contract, users must supply accurate information, be authorized to represent their organization, protect credentials, use offered enhanced authentication, avoid sharing individual accounts, restrict access and promptly report suspected compromise.
This does not imply an account is currently required to browse or send a contact inquiry. A user is not automatically responsible for an incident caused by Groupe W or a vulnerability beyond the user’s control.
Acceptable use
Without written authorization or legal entitlement, users must not:
- access non-public systems, accounts or data;
- attack, conduct intrusive testing, bypass security or disrupt services;
- scrape content or personal information at scale or train AI models on content beyond granted rights;
- reverse-engineer or decompile proprietary software or models except where mandatory law permits;
- send spam, malware, abusive solicitations or deceptive information;
- impersonate others, violate third-party rights or use services unlawfully.
Public search-engine indexing is permitted within published technical instructions and applicable rights. Security research requires prior scope agreement.
Intellectual property and trademarks
Groupe W and its licensors retain their rights in content, methodologies, architectures, libraries, algorithms, agents, tools, documents and know-how existing before or developed independently of a mandate.
Groupe W, Veya, Studio W, Ventures W and “Révéler. Bâtir. Entreprendre.” are reserved to their respective rights holders to the extent of the rights held. This does not claim registered trademark status.
Browsing grants no commercial licence or logo-use permission. Reproduction, adaptation, distribution, removal of rights notices or suggestions of endorsement require prior authorization, subject to statutory exceptions.
Clients retain rights in their own data and assets. Ownership and licences for bespoke deliverables, third-party components, open-source software, models and AI outputs must be addressed in the contract. Payment does not automatically transfer all Groupe W tools or know-how. Groupe W does not claim rights it does not hold in third-party components or AI output.
The ecosystem may include Kairos and Petits Pas. Mention does not create agency, joint liability or a claim of Groupe W ownership. Third-party rights remain reserved.
Confidentiality and entrusted data
In a contractual relationship, each party protects the other’s confidential information, uses it only for the agreed purpose and limits access to personnel or providers with a need to know and suitable obligations.
Exceptions include information lawfully known beforehand, public without fault, lawfully received from a third party or independently developed. Legally compelled disclosure remains possible, with advance notice where permitted.
The public contact form is not intended for medical files, passwords, trade secrets, detailed financial records or confidential datasets. Agree on a secure channel and, where needed, a confidentiality agreement before sensitive disclosure. Unilateral wording in a message does not alone create a bespoke confidentiality agreement; statutory privacy duties still apply.
For client, employee, patient or institutional-user data, contracts must address roles, instructions, categories, access, subprocessors, locations, safeguards, return and destruction. Training AI for another purpose cannot be inferred from general implicit permission.
Prices, invoicing and payment
Prices are stated in quotations or agreements. Unless otherwise agreed, they are in Canadian dollars (CAD), excluding applicable taxes and expressly agreed expenses. Deposits, milestones, payment dates and authorized expenses are disclosed before commitment.
No undisclosed or unaccepted interest, penalty or recurring debit is imposed by these terms. Invoice disputes should be raised within a reasonable time and addressed in good faith under the contract.
If online payment is offered, a secure third-party provider may be used, for example Stripe only if actually selected and identified at payment. Its terms and privacy policy must then be disclosed. This does not state Stripe is currently integrated. Never send full card details through the contact form.
Cancellation and refunds
Offer-specific terms are disclosed before ordering. In the absence of accepted particular terms, the following are proposed defaults requiring confirmation, subject to mandatory rights:
- Ongoing services: cancellation on 30 days’ written notice; payment for services performed until termination and refund of prepaid unperformed periods, less valid amounts owed.
- Bespoke projects: payment for completed work and reasonable documented non-recoverable external commitments; return of unearned advances. Deposits are not automatically wholly non-refundable.
- Events: deadlines, substitutions and refund rules appear in the offer. Without them, no blanket no-refund exclusion is presumed. If Groupe W cancels a paid event without an accepted equivalent service, the price of the unprovided service is refunded.
Avoidable costs and unperformed services are not automatically payable. Serious breach, force majeure and statutory termination rights are assessed under law and contract.
Information, technology and disclaimers
Site content is informational, provided “as is” and as available, to the extent legally permitted. It is not legal, tax, financial or investment advice or an offer of securities.
Service commitments, acceptance criteria, service levels, security obligations and warranties are those in the contract; the informational nature of the site does not cancel an express commitment.
AI output may be inaccurate or incomplete. Human validation and permitted uses must reflect the project. Browsing does not authorize deployment in healthcare, finance, critical infrastructure or institutional settings. Regulatory duties and decision responsibility must be established before production. No investment return, economic growth, commercial outcome or automatic compliance is guaranteed.
Limitation of liability
A validly accepted B2B agreement may, subject to law, exclude indirect losses that are not an immediate and direct consequence of breach, including certain lost opportunities, revenue or profits. Lost profits are not automatically indirect; classification depends on the facts.
These terms impose no universal monetary cap. Any cap must be negotiated or expressly accepted in the contract with regard to scope, risks and insurance.
No exclusion applies where prohibited, including bodily or moral injury and material injury arising from intentional or gross fault under Québec law, or mandatory rights. An agreement between businesses cannot neutralize statutory obligations to individuals, regulators or third parties.
Indemnification
Where expressly accepted in a B2B contract, the client indemnifies Groupe W and its directors, officers, employees and representatives personally concerned against third-party claims directly arising from unlawful use, infringement through supplied data or an attributable contractual breach.
Indemnification is proportionate to responsibility and justified amounts. It excludes Groupe W’s or the beneficiary’s own fault and non-transferable legal liability. Prompt notice, reasonable participation in the defence and reasonable consent to settlements are required. Project-specific reciprocal obligations and exceptions belong in the contract.
Duration, suspension and termination
Site-use terms apply while using the site; service duration is fixed by agreement. Access may be proportionately restricted for security risk, unlawful use or serious breach, with notice where circumstances permit. Contractual notices, cure periods and termination consequences remain governed by the agreement and law.
Accrued rights remain. Intellectual property, confidentiality, payment, lawful limitations and dispute provisions survive as necessary. Data protection, return and destruction obligations continue without authorizing indefinite retention.
General provisions
- No employment, general agency, partnership or joint venture arises without express agreement.
- Signed agreements and incorporated documents govern services; the site does not replace written commitments.
- Invalidity of one clause does not automatically invalidate others or allow removal of mandatory rights.
- Delay in exercising a right is not a waiver.
- Force majeure is assessed under law and contract; it does not automatically justify keeping payment for permanently unperformed services.
- Québec French-language requirements, including applicable adhesion-contract rules, remain respected. An English version must be consistent and not circumvent those obligations.
Third-party links
Links may direct to Studio W, Kairos, Petits Pas or other resources governed by their own policies. A link is not a general endorsement, content guarantee or authorized personal-information transfer. Groupe W does not necessarily control subsequent third-party changes, without being relieved of its own acts or legal duties.
Privacy and cookies
The Privacy policy details purposes, consent, proposed retention, rights, transfers and incidents. The Cookie policy addresses navigation technologies and the need to verify the actual inventory.
